Requirements by the Companies Act, 2008 and the Regulations
S23 Registered Office -
3. Each company or external company must-
a) continuously maintain at least one office in the Republic; and
b) register the address of its office or its principal office if it has more than one office, by filling a notice of change of registered office, together with the prescribed fee.
4. A change takes effect as from the later of a) the date, if any, stated in the notice; or b) five business days after the date on which the notice was filed.
Regulation 21
A company or external company must notify the Commission of a change in its registered office by filing Form CoR 21.1 with the fee set out in Table CR 1, indicating the effective date of change, which must be at least five business days after the date on which the notice is filed.
Change of Registered Office
The following forms are required:
From CoR21.1.
Certified copy of ID of applicant (director).
Resolution passed by the directors.
Update company records.
Advise SARS of change of registered address via e-filing.
Approved board resolution (to paste in minute book).
CoR21.1 - Confirmation of registration by CIPC.
Letter to SARS advising them of address or proof of e-filing.
Notice of Place Where Records Are Kept if Not Registered Office Address
To notify the Commission of the location of change in location of any company records (including accounting records) that are not kept at the registered office.
You must indicate the date as of which the records will be kept at the new location.
Section 24 of the Companies Act sets out what company records are.

Completed form CoR22 (to be dated on the day the notice is filed, or a later date).
