Confirmation of Form CoR 9.1 being CoR 9.4 - Reservation of name.
If you have not reserved a name, you will prepare and lodge a CoR 14.1 Annexure B (Notice of Incorporation - Alternative name for the company). Should CIPC not be satisfied to approve any of the proposed names, the company registration number will become the name of the company.
Memorandum of Incorporation ("MOI")
Form CoR 14.1 - Notice of Incorporation - to be completed with the detail of the incorporator and all forms will be signed by the incorporator.
Form CoR 15.1A - Memorandum of Incorporation. You will only use this form if you want to adopt the shortened version of the Companies Act Regulations' MOI.
Attached shortened version of MOI.
Form CoR 14.1 (Annexure A) - Notice of Incorporation (Initial Directors of the Company). Attach a form CoR 14.1 (Annexure A) for each director.
Attach approved name reservation, form CoR 9.4 (already approved) or CoR 14.1 (Annexure B) with proposed names.
Should you want to Ring Fence your company, complete and attach a from CoR 14.1 (Annexure C).
Should you have to appoint an auditor and company secretary, complete and attach CoR 14.1 (Annexure D).
Attach original ID copies of the incorporator, company secretary and directors and applicant.
R50 if you lodge with CoR 9.1 (name reservation) electronically.
R75 if you lodge CoR 9.1 manually.
A new company registered via the CIPC website must use the short version of MOI. A new company registered via email, fax or drop off box may also use the short version of MOI.
The short version of MOI can only be used for a new company. It can't be used to replace an existing MOI.
A new company adopting a unique MOI can't lodge via CIPC website. It has to be emailed, faxed or dropped off. If the document if too large for email, you will have to post it or use the drop off box.
The registered document will be returned to you, depending on your choice of delivery linked to your agent code.
